第1章 総則 Chapter 1: General Provisions

第1条  (会員規約)

1. Membership Terms

この会員規約は、株式会社タグボートが運営するタグボート(以下「タグボート」という)が提供するサービスを、第5条所定の会員(以下「会員」といいます。)が利用する場合に適用します。

These membership terms ("Terms") applies when the service provided by TAGBOAT (the "Site") operated by TAGBOAT Inc. ("TAGBOAT") is used by the members prescribed in Article 5 ("Membership").

第2条  (本規約の範囲)

2. Scope of Terms

タグボートが会員に対して発する第4条所定の通知は、この会員規約の一部を構成するものとします。
タグボートが、この会員規約本文の他に別途定める各サービスの利用規約および各サービスの「ご案内」または「ご利用上の注意」等で規定する各サービスの利用上の決まり、およびその他の利用条件等の告知(以下、併せて「利用規約等」といいます。)も、名目の如何にかかわらず、この会員規約の一部を構成するものとします。
この会員規約本文の定めと利用規約等の定めとが異なる場合には、当該利用規約等の定めが優先して適用されるものとします。

The notice prescribed in Article 4 issued by TAGBOAT to Members form part of these Terms.
In addition to the main context of these Terms, we specify the terms of use of each service, the rules for using these services specified in the "Information" or "Notice" of each service, and other terms of use etc. (hereinafter collectively referred to as "Terms of use") shall also form part of these Terms, regardless of the pretext.
If the provisions of this membership Terms and the terms of use differ, the provisions of this Terms of use takes precedence.

第3条  (本規約の変更)

3. Modifications of Terms

タグボートは、会員の了承を得ることなく、この会員規約を変更することがあります。 この場合には、サービスの利用条件は、変更後の会員規約によります。
変更後の会員規約については、タグボートが別途定める場合を除いてオンライン上に表示した時点より、効力を発するものとします。

We may modify these Terms from time to time without consent from you. In this case, the terms of the service will be based on the changed Terms. The modified Terms will take effect as the moment it is presented on the Site, unless TAGBOAT specifies otherwise.

第4条  (タグボートからの通知)

4. Notifications

タグボートは、オンライン上の表示、その他タグボートが適当と判断する方法により、会員に対し随時必要な事項を通知します。
前項の通知は、タグボートが当該通知の内容を表示した時点より効力を発するものとします。

Notices to you may be made at any time on the Site or by other communications we decide appropriate. These notifications will take effect from the moment we present it.

第2章 会員 Chapter 2 Membership

第5条  (会員)

5. Membership

会員とは、この会員規約に同意したうえで、タグボートにサービスの入会を申し込み、タグボートがこれを承認した者をいいます。

A Member is a person who agrees to our Terms, applies for a membership for the service of TAGBOAT and has been approved by TAGBOAT.

第6条(会員登録・変更・抹消)

6. Membership Registration, Changes and Cancellation

会員登録は所定の手続きに従って行い、その完了後タグボートが会員登録を承認した場合に本サービスを利用することができます。
代理人による登録は一切認めませんのでご了承ください。
会員は、氏名、住所等必須の登録事項について真実のものを記入しなければなりません。以下の場合には、会員登録を拒否し、会員登録承認後であっても会員登録を抹消することがあります。

・入会申込者が実在しない場合。
・入会申し込みをした時点で、会員規約の違反等により会員資格の停止処分中であり、または過去に会員規約の違反等で除名処分を受けたことがある場合。
・入会申し込みの際の申告事項に、虚偽の記載、誤記、または記入漏れがあった場合。
・タグボートの業務の遂行上、またはサービスの運営上支障がある場合。
・料金の支払いを怠った場合。
・その他サービスに重大な影響を与える危険性がある場合。

The Site may be used only if the Membership registration is performed according to the prescribed procedure and approved by TAGBOAT upon completion. Registration by a representative is strictly not permitted. During registration, Members voluntarily enter required information such as your name and address truthfully. In the following cases, we reserve the right to refuse and revoke your Membership registration after its approval.

・ Membership applicant does not physically exist.
・ Under suspension or removal at the time of application, or have been dismissed in the past due to a violation of the Term.
・ Attempting a false entry, clerical error, or omission in the provided information when applying for membership.
・ In violation to the operations of TAGBOAT or operation of our services.
・ Fails to make payment.
・ A risk of serious affect to our other services.

第7条  (譲渡禁止等)

7. Transfer Prohibition

会員は、会員として有する権利を第三者に譲渡したり、売買、名義変更、質権の設定その他の担保にしたりする等の行為はできないものとします。

Members are strictly prohibited from transferring their member rights to a third party, sell, purchase, change their name, establish a right of pledge, or use them as collateral.

第8条  (変更の届出)

8. Notification of Changes

会員はタグボートへの届出内容に変更があった場合には、速やかにタグボートに所定の方法で変更の届出をするものとします。
前項届出がなかったことで会員が不利益を被ったとしても、タグボートは一切の責任を負いません。

Members are responsible to promptly notify TAGBOAT for any changes in the content of registration by the prescribed method. In no event shall we be liable, directly or indirectly, to any Member for any loss or damage arising from failure to submit these notifications.

第9条  (会員からの登録抹消)

9. Membership Termination

会員が会員登録の抹消を希望する場合、所定の方法により届け出るものとします。

To seek our permission to terminate our Membership, the Member shall notify by the prescribed method.

第3章 会員の義務 Chapter 3 Obligations of Members

第10条  (個人認証情報の管理責任)

10. Personal Authentication Information

会員番号(メールアドレス、特定のサービスの利用のためにタグボートが付与する番号等を含みます。以下同様とします。)
および会員番号と組み合わせるパスワードその他の記号等がある場合は、
それらはいずれも会員の提供サービスまたはその他の付加サービスを利用する権利が認識されるに足りる情報でありこの会員規約においては、いずれも「個人認証情報」といいます。
会員は、自己の個人認証情報を条件とするサービスを利用する権利を、第三者に使用させず、第三者と共有あるいは第三者に許諾しないものとします。
会員の個人認証がなされたサービスの利用やそれに伴う一切の行為は、本項に反してなされた第三者によるサービスの利用やそれに伴う一切の行為をも含め、
当該利用や行為が会員自身の行為であるか否かを問わず、会員による利用および行為とみなします。
会員は、個人認証情報の管理について一切の責任をもつものとします。タグボートは、
会員の個人認証情報が第三者に使用されたことによって当該会員が被る損害については、当該会員の故意過失の有無にかかわらず、一切の責任を負いません。

Membership, password or symbols used with the Number, are all information sufficient to recognize the right to use the service provided by the Member or other additional services, referred to as "Personal Authentication Information" in this Term. Members are prohibited to use, share or grant the service subject to their Personal Authentication Information to a third party. Use of services personally authenticated by the Member and actions associated therewith, including the use of services by third parties made in violation of this section and any associated actions regardless of whether the use or act is the Member's own act, is considered as a use or act of the Member. Members are solely responsible for the management of Personal Authentication Information. TAGBOAT will not be liable for any damages incurred by the Member for the use of Personal Authentication Information by a third party regardless of the Member's intentional negligence.

第11条  (自己責任の原則)

11. Principle of Member Responsibility

会員は、サービスの利用とそのサービスを利用してなされた一切の行為(前条により、利用または行為とみなされる第三者の利用や行為を含みます。以下同様とします。)とその結果について、一切の責任を負います。
会員は、サービスの利用に伴い、第三者から問い合わせ、クレーム等が通知された場合は、自己の責任と費用とをもって処理し解決するものとします。
会員は、第三者の行為に対する要望、疑問もしくはクレームがある場合は、当該第三者に対し、直接その旨を通知するものとし、
その結果については、自己の責任と費用とをもって処理解決するものとします。
会員は、サービスの利用によりタグボートまたは第三者に対して損害を与えた場合
(会員が、この会員規約上の義務を履行しないことにより第三者またはタグボートが損害を被った場合を含みます。)、自己の責任と費用とをもって損害を賠償するものとします。

Members have sole responsibility for the use of our service and all actions taken using that service (including the use and actions of third parties deemed to use or act　according to the preceding article. The same shall apply hereinafter) and the results thereof. Members shall handle and resolve inquiries, complaints etc. from third parties at their own risk and expense when using the service. If there is a request, inquiry or complaint about the actions of a third party, the member shall directly notify the third party to that effect. The result shall be processed and resolved at Member's own risk and expense.
If a Member caused damage to TAGBOAT or any third party by using the service (including case where damage is caused by a Member to a third party or TAGBOAT by not fulfilling the obligations under these Terms), the damage shall be compensated at their own risk and expense.

第12条  (手続き)

12. Use of the Site

会員はサービスを利用する際は、事前に個々のサービスごとに定められた所定の手続きを経るものとします。

When using our service, the Member shall go through the prescribed procedure prescribed for each service in advance.

第13条  (その他の禁止事項)

13. Other Prohibited Uses

会員はサービス上で以下の行為を行わないものとします。

• ・タグボートおよびコンテンツ提供者の著作権、商標権等の知的財産権を侵害する行為。
• ・コンテンツの全部または一部を第三者に供与すること。
• ・詐欺等の犯罪に結びつく行為。
• ・第三者になりすましてサービスを利用する行為。
• ・上記各号の他、法令、この会員規約および公序良俗に違反する行為、サービスの運営を妨害する行為、タグボートの信用を毀損し、もしくはタグボートの財産を侵害する行為、または第三者もしくはタグボートに不利益を与える行為。

TAGBOAT requires all Members to agree not to use our Site for any of the following:

• -Acts that infringe intellectual property rights such as copyrights and trademark rights of TAGBOAT and content providers.
• -Providing all or part of the content to a third party.
• -Acts that lead to criminal offense such as fraud.
• -The act of impersonating a third party to use our service.
• -In addition to the above, violation of laws and regulations, the Terms and public order and morals, acts that interfere with the operation of our service, acts that damage the credibility or acts that infringe the property of TAGBOAT, or the act of causing any damages and disadvantages for third parties or TAGBOAT.

第4章 運営 Chapter 4 Operation

第14条  (サービスの内容等の変更)

14. Service Modification

タグボートは、会員への事前の通知なくしてサービスの内容・名称を変更することがあります。

We may modify the content and name of our service without prior notice to the Members.

第15条  (免 責)

15. Disclaimer

サービスの内容は、タグボートがその時点で提供可能なものに限られるものとします。タグボートは、
サービスの利用により発生した会員の損害(第三者との間で生じたトラブルに起因する損害を含みます。)、
およびサービスを利用できなかったことにより発生した会員または第三者の損害に対し、この会員規約で特に定める場合を除き、いかなる責任をも負わないものとし、損害賠償義務の一切を負わないものとします。

The content of the service shall be those limited by TAGBOAT to be possible to provide at that time.
Any damage caused by a Member using the service (including damage caused by disputes with a third party), and unless otherwise specified in these Terms we shall not be liable for any damages by a Member or a third party caused by the inability to use the service, and shall not be liable for any obligation of compensation.

第16条  (タグボートによる会員資格の停止)

16. Suspension of Membership

会員が次のいずれかに該当する場合は、タグボートは当該会員に事前に何等通知または催告することなく、
サービスの利用を一時停止または会員資格を取り消すことができるものとします。

・第6条各号または第13条各号のいずれかに該当することが判明した場合。
・その他、タグボートが会員として不適当と判断した場合。
会員が本条第1項各号のいずれかに該当することで、タグボートが損害を被った場合、
タグボートはサービスの利用を一時停止または除名処分の有無にかかわらず、当該会員に被った損害の賠償を請求できるものとします。

If a Member falls under any of the following, TAGBOAT reserve the right to suspend the use of service or revoke the membership without any notification to the member in advance.

・ If we find that the Member is applicable under any items in Article 6 or Article 13.
・ If the Member is otherwise deemed unsuitable by our judgement.

For any damage caused to TAGBOAT due to Member falling under any of the items in Paragraph 1 of this Article, we reserve the right to claim compensation for damages caused by the Member regardless of whether the use of the service is suspended or dismissed.

第5章 個人情報 Chapter 5 Personal Information

第17条  (個人情報)

17. Personal Information

タグボートは、会員の個人情報(以下「個人情報」といいます。)を適切に取り扱うものとします。
タグボートは、個人情報を、以下の目的のために利用します。

・購入に際しての注文・決済・配送の内容に関するご連絡
・買取サービスに際しての、査定申し込み、買取、入金の内容に関するご連絡
・新商品やイベントの案内及びキャンペーン等に関する情報のご連絡
・アフターサービスに関する情報のご連絡
・当社における採用関連の応募者情報取得とご連絡
タグボートは、前項の利用目的の実施に必要な範囲内で個人情報を業務委託先に預託することができるものとします。
タグボートは、あらかじめ会員の同意を得ることなく、第三者に個人情報を開示、提供をしないものとします。
タグボートは、第4項にかかわらず以下の各号に該当する場合は、個人情報を開示することがあります。

We shall properly handle personal information of our Members ("personal information"). We reserve the right to use the personal information for the following purposes;

・ To contact the details of orders, payment, and delivery of purchases
・ To contact the details of assessment application, purchases, and payment for the purchasing service
・ To contact information on new products and events and information on campaigns, etc.
・ To contact information about after-sales service
・ To acquire and contact the applicant information related to recruitment at TAGBOAT

We reserve the right to outsource personal information to the outsourced company within the scope necessary to implement the purpose of use set forth in the preceding paragraph. We shall not disclose or provide personal information to a third party without the prior consent of the Member. Regardless of Section 4, we may disclose personal information in the following cases.

第6章 その他 Chapter 6 Others

第18条   (専属的合意管轄裁判所)

18. Exclusive Agreement Jurisdiction Court

会員とタグボートの間で訴訟の必要が生じた場合、東京地方裁判所を会員とタグボートの第一審の専属的合意管轄裁判所とします。

In the event of all legal disputes between TAGBOAT and the Member, the Tokyo District Court shall be the exclusive jurisdiction court of the first instance.

第19条   (準拠法)

19. Applicable Law

この会員規約に関する準拠法は、日本法とします。

These Terms shall be governed by the law of Japan.
